Associate – International Transactions (Brazil/France) positions offered by Kilpatrick Townsend & Stockton LLP (Atlanta, GA). Conduct research, write legal memoranda, draft and negotiate contracts and other agreements, supervise and conduct transaction closings, and provide advice, opinions and other legal assistance to companies and individuals. Support the Firm’s cross-border M&A practice with a particular focus on France and Brazil, including the management of acquisitions and divestitures in those jurisdictions and representation of clients from such countries investing in the United States. Research and analyze U.S., French and Brazilian law on complex issues and write memoranda for submission to a supervising attorney or client.  Appear before governmental and quasi-governmental authorities in the U.S., France and Brazil on behalf of the Firm's clients, as well as present well-reasoned arguments to such authorities. Analyze and summarize complicated legal documents, including contracts, assessing legal implications and business risks. Conduct legal due diligence to assist clients in weighing the legal and business risks of proposed transactions in the U.S., France and Brazil, and develop mitigation strategies for identified risks in light of the legal and business context.  Supervise and coordinate the work of specialists in other legal disciplines within the law firm or at local counsel firms in France and Brazil. Work with client-designated accounting and investment banking resources to ensure appropriate communication of transaction issues and coordination of all steps necessary to complete transactions. Draft and negotiate transaction agreements and instruments necessary to implement cross-border transactions. Manage cross-border transaction closing processes. Analyze and advice regarding potential claims arising from completed transactions. Our cross-border transactional practice involves the representation of non-US clients in inbound investment transactions, as well as the representation of US clients in the acquisition or divestiture of multi-national businesses, with a particular focus on Brazil and France. The associate needs to be conversant in the legal and business cultures of the US, France and Brazil in order to advise clients familiar with one system/business culture on the likely differences to be encountered in the other jurisdiction(s) relative to the legal/business environment of the client’s domestic jurisdiction. 

 

Minimum Requirements

Requires a Juris Doctor from a US-accredited law school.  Also requires 3 years of corporate practice experience as a lawyer (law firm or in-house) in France or Brazil. Education must include: corporate coursework and satisfy degree requirements necessary for admission to Brazilian and French Bars. Requires GA Bar Admission. Must be Member of the Bar (in good standing) in Brazil or France. Experience may be, but need not be, acquired concurrently.
